On July 9, 2012, D.E. Master Blenders 1753, spin-off of former Sara Lee Corporation, commenced regular-way trading on the NYSE Euronext Amsterdam under the ticker “DE”. The spin-off was announced on January 28, 2011. The parent is named as Hillshire Brands Company and commenced regularway trading on the NYSE under the ticker “HSH” on June 29, 2012.

 

In April 2013 'Oak Leaf B.V.', a newly incorporated Dutch company that is wholly owned by Joh. A. Benckiser led investor group made a public cash offer for all issued and outstanding ordinary shares in the capital of 'D.E. Master Blenders 1753 N.V.'  at an offer price of € 12.50 (cum dividend) for each Share (on a fully diluted basis). Amsterdam-based Master Blenders’ board supported the offer. 

 

Shareholders were requested to make their acceptance known no later than August 15, 2013.  

 

Finally the acceptance level (95,27%) and EGM adoption made the offer unconditional. On October 29, 2013 all 'D.E. Master Blenders 1753 N.V.' shares were delisted from the NYSE Amsterdam Euronext Exchange.
